Amsterdam, 24th October 2023 – Azerion has taken a minority stake in the youth-focused media house Just Another Media Company (JAMC), based in Amsterdam. JAMC owns various online titles such as RUMAG, ParraTV, SoWhat!, Nieuwskamer, and Darum. Additionally, it produces and licenses ComplexNL, the largest platform targeting millennials and Gen Z worldwide, originally from the United States and providing news on pop and street culture, streetwear and style, music, sneakers, and sports. JAMC also serves as a sales agent for branded content propositions across various other platforms.

Platform growth and integrations leading to increased revenue and improved margins

Amsterdam, 28 August 2023 – Further to its announcement dated 1 August 2023 (link to announcement), Azerion today announces the completion of the sale of its Youda Games portfolio of games, including social card themed title Governor of Poker 3, to Playtika Holding Corp.

Amsterdam, 23 August 2023 – Azerion is pleased to confirm the completion of the cancellation of 58,690,961 of its ordinary shares held in treasury in line with the resolution of the company’s shareholders at the Annual General Meeting held on 15 June 2023.

Herzliya, Israel and Amsterdam, Netherlands, August 1, 2023 – Playtika Holding Corp. (NASDAQ: PLTK), a mobile games pioneer and interactive entertainment leader, and Azerion Group N.V. (EURONEXT: AZRN) one of Europe’s largest digital advertising and entertainment media platforms, announced today they have entered into a definitive agreement for Playtika to acquire from Azerion its Youda Games portfolio of games, including social card themed title Governor of Poker 3, for an initial cash consideration of EUR 81.3 million, with an earnout based on the performance of the acquired business that could take the total consideration up to a maximum of EUR 150 million, subject to customary adjustments. 

Amsterdam, 6th July 2023 – Azerion announces today that it has been notified by Principion Holding B.V. (‘Principion’) that Principion and LDA Capital Limited have cancelled the put option agreement entered into between them and announced by Azerion on 30 December 2022 subject to the terms of a settlement agreement. Principion has also confirmed to Azerion that it has not exercised the put option and that therefore no Azerion shares have been sold under this agreement.

Consolidation and integration leading to resilient revenue growth and increased profitability

Amsterdam, 13 March 2023 – Today Azerion has announced an investigation by the Autoriteit Financiële Markten (AFM), which according to AFM-information known to the Company, appears to be related to compliance with article 15 of the Market Abuse Regulation and seems to be focused on the shareholders of Principion Holding B.V., including Azerion co-CEOs Atilla Aytekin and Umut Akpinar. Principion is Azerion’s largest shareholder.

Delivery on 2022 targets with profitable growth outlook

Amsterdam, 28 February 2023 – Today, Azerion has announced its intention to cancel up to 58,690,961 ordinary shares held in treasury, in order to reduce the number of shares outstanding. A resolution for the cancellation of the treasury shares will be submitted at the next Annual General Meeting (AGM), which is scheduled for 15 June 2023.

Amsterdam, 13 January 2023 – Today, Azerion has announced that it will simplify its reporting structure by merging the parent company Azerion Group N.V. and Azerion Holding B.V.. As a result, the surviving entity Azerion Group N.V. will publish one report with the interim unaudited results for the fourth quarter 2022 and one set of consolidated financial statements for the full year 2022.

Amsterdam, 30 December 2022 – Today, Azerion has announced that its largest shareholder, Principion Holding BV, has signed a put option agreement with LDA Capital Limited for the sale of up to 10 million ordinary shares in Azerion, with the primary purpose of supporting liquidity of Azerion’s shares and directing part of the proceeds to fund growth in Azerion.

Amsterdam, 31 October 2022 – Today, Azerion has announced the acquisition of [M]media B.V., a leading sales house, tech partner and intermediary for publishers and advertisers in the Dutch digital advertising space with a strong focus on sports, lifestyle and automotive audiences.

Amsterdam - 17 October 2022 – Azerion has announced the completion of several acquisitions for an aggregated consideration of approximately €12 million (cash and share consideration). The acquisitions include Vlyby Gmbh, a fast growing ad tech company focused on programmatic video advertising and self-service publisher solutions, as well as a number of asset deals consisting of full monetization solutions for digital publishers in Italy (TakeRate) and France. These acquisitions generated approximately €14 million revenue in 2021.
